Terms of Service

These Terms of Service ("Terms") govern your use of the website at uglygtm.com and any related software, features, and services (together, the "Service") provided by uglyGTM LLC, an Idaho limited liability company ("uglyGTM," "we," "us," or "our"). They apply whether you are a registered user or a visitor. Please also read our Privacy Policy, which explains how we handle your information and is incorporated into these Terms.

By accessing or using the Service, creating an account, or submitting content, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service for an organization, you confirm you are authorized to accept these Terms on its behalf.

1. About us and the Service

uglyGTM LLC operates uglygtm.com, a curated and community-driven library of real-world go-to-market ("GTM") materials — such as landing pages, ads, emails, pricing pages, and onboarding flows — that designers, marketers, and founders can study for reference and inspiration. Content reaches the Service two ways: (a) materials we curate from publicly available sources, kept up to date as reasonably as we can; and (b) materials submitted by users.

2. Acceptance and eligibility

You must be at least 18 years old to create an account or use the Service. The Service is not directed to anyone under 18, and we do not knowingly allow them to register.

By using the Service, you confirm that you have read and understood these Terms and that you have the legal capacity to agree to them.

3. Your account

When you register, you agree to provide accurate, current information and to keep it up to date. You are responsible for keeping your password secure and for all activity under your account. Account sharing — one account used by multiple people — is not allowed, and we may suspend or terminate accounts we reasonably believe are shared. Tell us at isaac@uglygtm.com if you suspect unauthorized use of your account. You may stop using the Service and close your account at any time.

4. Limitations of use

You agree that you will not, and will not allow anyone acting through you to:

• copy, modify, create derivative works of, decompile, or reverse engineer any part of the Service or its software;
• remove any copyright or proprietary notices from the Service or its materials;
• transfer or "mirror" the Service's materials on another server without our written consent;
• disrupt, overburden, or interfere with the Service, our networks, or our security;
• transmit or post anything unlawful, harassing, obscene, defamatory, deceptive, or harmful, or anything that infringes a third party's intellectual-property, privacy, or other rights;
• use the Service to send spam or unauthorized advertising;
• harvest or collect other users' data without consent;
• sell, license, or commercially exploit the Service or its content, or access to it, without our permission; or
• use any scraper, bot, crawler, or other automated means to access, copy, or monitor the Service, except as allowed below.

Automated access. If you operate a crawler or similar tool, you may access the Service only if you use a descriptive user-agent header, follow our robots.txt, do not degrade the Service, and make your contact information available.

AI and machine learning. You may not use the Service, or any content in it, to train artificial-intelligence or machine-learning systems, to create derivative works, or to build any product or dataset that competes with or replicates the Service, except with our written consent.

Breaching this section may result in suspension or termination of your access and may expose you to legal liability.

5. Intellectual property

5.1 Our rights

The Service — including its software, design, text, graphics, the uglyGTM name and logos, and the selection, arrangement, and compilation of all content (our database and compilation rights) — is owned by or licensed to us and is protected by intellectual-property laws. Those rights remain with us or our licensors.

5.2 Your right to use the Service

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for your own reference, research, and inspiration. This is a license, not a transfer of ownership, and it ends automatically if you breach these Terms.

5.3 Showcased Materials and rights holders

The Service contains GTM materials — such as screenshots, recordings, and copy — relating to third parties' products and brands ("Showcased Materials"). These may include content protected by copyright or trademark belonging to their owners ("Rights Holders"). We do not claim ownership of the underlying content in Showcased Materials. We collect and display it solely to provide the Service for reference, commentary, study, and inspiration. You may reproduce or paraphrase Showcased Materials elsewhere only to a limited extent and only with credit to the relevant Rights Holder.

If you are a Rights Holder and want your material removed, contact us at isaac@uglygtm.com (or see Section 6), and we will review and may remove it. Brand names, logos, and trademarks shown in the Service belong to their owners and are used only to identify the companies and products referenced; their appearance does not imply any affiliation with or endorsement by those owners.

5.4 Fair use

We believe our display of Showcased Materials is consistent with the fair-use provisions of U.S. copyright law. Nothing in these Terms limits any rights you have to use materials under fair use. You are solely responsible for how you use any materials outside the Service, and we disclaim liability arising from your use of them.

5.5 Content you submit

You keep ownership of the content you submit ("User Content"), and we will never claim to own it. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable license to host, store, use, reproduce, modify (for formatting and display), publish, publicly display, distribute, and create derivative works of it in order to operate, promote, and improve the Service, consistent with our Privacy Policy.

You may end this license by deleting your User Content or your account, except that (a) we may keep residual backup copies for a reasonable time, and (b) where we have used your User Content in featured, sponsored, or commercial placements, the license continues until we discontinue that use. You also permit us to use your username and profile details to identify you in connection with your User Content.

You represent and warrant that:

• you own your User Content or have all rights and permissions needed to submit it and grant the license above;
• it does not and will not infringe anyone's intellectual-property, privacy, or publicity rights;
• if it reflects work you created for a client or employer, you have the right to publish it and are not breaching any confidentiality obligation, non-disclosure agreement, or work-for-hire arrangement; and
• it contains no confidential information of others, no malware, and nothing unlawful.

We are not obligated to display or keep any User Content and may remove or refuse it at our discretion.

6. Copyright and DMCA policy

We respond to notices of claimed copyright infringement under the U.S. Digital Millennium Copyright Act ("DMCA").

To report infringement, send our Designated Agent a written notice that includes: your physical or electronic signature; identification of the work you claim is infringed; identification of the material you claim is infringing and where it is on the Service (such as a URL); your contact details; a statement that you believe in good faith the use is not authorized by the owner, its agent, or the law; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

Counter-notice. If your content was removed by mistake or misidentification, you may send a counter-notice with: your signature; identification of the removed material and where it appeared; a statement under penalty of perjury that you believe in good faith it was removed by mistake or misidentification; your contact details; and your consent to the jurisdiction of the federal court for your district (or, if outside the U.S., for Ada County, Idaho). We may restore the material in 10–14 business days unless the complaining party files a court action.

Repeat infringers. We will, in appropriate cases, suspend or terminate the accounts of users who repeatedly infringe.

7. Moderation and removal

We may, but are not required to, monitor, review, edit, refuse, or remove any content at any time, including content we believe violates these Terms or the rights of others. We are not responsible for content others submit and do not endorse opinions expressed in it.

8. Disclaimer

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," FOR REFERENCE ONLY, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE OR RELIABLE. YOU USE THE SERVICE AT YOUR OWN RISK. Some jurisdictions do not allow certain disclaimers, so some may not apply to you.

9. Limitation of liability and indemnification

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UGLYGTM AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

You agree to indemnify and hold harmless uglyGTM and its officers, employees, and agents — and the Rights Holders of any Showcased Materials — from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

10. Accuracy of materials

The materials on the Service are not comprehensive and are for general reference only. We do not warrant their accuracy, completeness, or reliability, or that of any linked resources.

11. Links to other websites

The Service may link to third-party sites we do not control and have not reviewed. We are not responsible for their content or practices, a link does not imply endorsement, and you use them at your own risk.

12. Privacy

Your use of the Service is subject to our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and give reasonable notice (for example, by posting on the Service or emailing you). Changes take effect when posted unless we say otherwise, and your continued use means you accept them.

14. Changes to the Service

We may modify, add to, or remove features, content, or aspects of the Service at any time, without prior notice, and you will have no claim against us for doing so.

15. Termination

These Terms apply until terminated. You may stop using the Service and deactivate your account at any time. We may suspend or terminate your access — with notice where practicable — if we reasonably believe you have breached these Terms, your use risks harm to us or others, we are required to by law, or providing the Service to you is no longer viable. Provisions that by their nature should survive termination will survive.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Idaho, USA, without regard to its conflict-of-laws rules, together with applicable U.S. federal law. You agree to the exclusive jurisdiction of the state and federal courts located in Ada County, Idaho, and consent to personal jurisdiction there.

17. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service. If any provision is unenforceable, it is severed and the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them (for example, in a merger or sale of assets). We are not liable for delays or failures caused by events beyond our reasonable control.
